Terms of Service

1. Acceptance of Terms

By accessing or using ChemWhiz ("the Service"), you agree to be bound by these Terms of Service and by our Privacy Policy. Your use of the Service is entirely voluntary, and any use of the Service constitutes your unconditional acceptance of all of these Terms. If you do not agree with any part of these Terms, your sole remedy is to not use the Service.

2. Description of Service

ChemWhiz provides chemistry learning tools and content, including an interactive periodic table, calculators, study topics, worked examples, and reference materials. Browsing this content is free. Certain features, such as graded practice and AI-assisted tutoring, require a registered account and an active paid subscription.

3. Subscriptions and Billing

Paid features run on neurons, ChemWhiz's in-app usage currency. An active subscription includes a monthly allowance of neurons, and additional neurons may be purchased as one-time packs. Neurons are consumed by AI-powered actions such as graded submissions and tutoring responses. If an AI-powered action fails, the neurons it consumed are automatically refunded.

Subscription and pack prices are shown before purchase. Payments are processed by our third-party payment provider; we do not store your card details. You may cancel your subscription at any time, and access to paid features continues through the end of the paid period. Neuron balances are subject to a maximum wallet cap shown on the billing page; a pack purchase that would exceed the cap is not offered. Neurons have no cash value and are not redeemable for money or transferable between accounts. Cancelling does not erase your existing neuron balance. After paid access ends, you must resubscribe to use that balance with ChemWhiz.

ChemWhiz does not offer discretionary refunds for subscription payments or neuron packs; the computation, infrastructure, and payment-processing costs behind the Service are covered by these purchases. This does not limit any refund or other non-waivable right required by applicable law, any refund issued by our payment provider under its own terms, or the automatic neuron refund for failed AI-powered actions described above.

4. Use of Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates applicable laws or regulations
  • Attempt to interfere with or disrupt the Service or its servers
  • Use automated systems to access the Service without permission
  • Reproduce, duplicate, or resell any part of the Service without authorization

5. Educational Content; No Professional Advice

The chemistry information, lessons, worked examples, grading verdicts, and AI-generated responses provided on ChemWhiz are intended for educational purposes only. They do not constitute professional, academic, medical, safety, or any other form of advice, and they are not a substitute for qualified instruction. While we strive for accuracy, we do not guarantee that any content, grade, verdict, or AI response is complete, current, or error-free, and AI-generated output in particular may contain mistakes. You are solely responsible for verifying important information with authoritative sources and for any decision you make in reliance on the Service, including academic and examination outcomes.

Do not use ChemWhiz content as guidance for handling chemicals or performing experiments. Always follow the safety instructions of a qualified instructor and the protocols of your institution.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by ChemWhiz (DCTSoft LLC) and are protected by copyright, trademark, and other intellectual property laws.

7. User Accounts and Eligibility

You must be at least 13 years old to create an account. If you are under the age of majority where you live, a parent or legal guardian must review these Terms with you and accept them on your behalf. If you create an account, you are responsible for maintaining the security of your account and for all activities that occur under your account. You must notify us immediately of any unauthorized use. We are not responsible for any loss arising from unauthorized use of your account.

8. Assumption of Risk; Voluntary Use

Your use of the Service is voluntary and at your sole risk. You assume full responsibility for how you use the Service and its content, including any consequences for your studies, examinations, or other outcomes. Except as expressly stated in these Terms, if you are dissatisfied with the Service or with any of these Terms, your sole and exclusive remedy is to discontinue use of the Service and, where applicable, cancel your subscription.

9. Disclaimer of Warranties

The Service and all of its content, features, grading verdicts, and AI-generated responses are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and availability. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that any content or AI output is accurate or reliable.

10. Limitation of Liability

To the fullest extent permitted by applicable law, ChemWhiz, DCTSoft LLC, and their owners, officers, employees, and contractors shall not be liable for any damages of any kind arising out of or in connection with your use of, or inability to use, the Service or any of its content, including without limitation direct, indirect, incidental, special, consequential, exemplary, or punitive damages, loss of data, loss of profits, academic or examination outcomes, or personal injury, whether based in contract, tort, strict liability, or any other legal theory, and even if advised of the possibility of such damages.

Where applicable law does not permit the exclusion of certain liability, the total aggregate liability of ChemWhiz and DCTSoft LLC for all claims relating to the Service shall not exceed the amount you paid for the Service in the twelve months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

11. Indemnification

You agree to indemnify and hold harmless ChemWhiz, DCTSoft LLC, and their owners, officers, employees, and contractors from any claims, damages, losses, or expenses, including reasonable attorneys' fees, arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Severability; Entire Agreement

Except as provided in Section 15 (Arbitration Agreement and Class Action Waiver), if any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and ChemWhiz regarding the Service. Our failure to enforce any provision of these Terms is not a waiver of that provision.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes by posting the new Terms on this page with an updated date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law, Venue, and Time Limit on Claims

These Terms are governed by the laws of the Commonwealth of Kentucky and the United States of America, without regard to conflict-of-laws principles. Subject to Section 15, any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state courts located in Madison County, Kentucky, or the federal courts with jurisdiction over Madison County, Kentucky, and you consent to the personal jurisdiction of those courts. To the fullest extent permitted by applicable law, any claim must be brought within one year after it arises or be permanently barred.

15. Arbitration Agreement and Class Action Waiver

This Section applies to and protects ChemWhiz, DCTSoft LLC, and their owners, officers, employees, and contractors, each of whom may enforce it. Before filing any claim subject to arbitration, you agree to first contact us at contact@chemwhiz.com with a description of the dispute and give us thirty days to resolve it informally. This paragraph does not apply to claims filed in small claims court or to requests for injunctive relief.

Any dispute arising out of or relating to these Terms or the Service that is not resolved informally shall be resolved by binding arbitration on an individual basis, administered by the American Arbitration Association under its Consumer Arbitration Rules. This arbitration agreement is governed by the Federal Arbitration Act. The arbitration shall take place in Madison County, Kentucky, or, at your election, remotely by videoconference or on written submissions. Judgment on the arbitration award may be entered in any court with jurisdiction. Either party may instead bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property rights.

You and ChemWhiz each waive the right to a trial by jury and the right to participate in a class action.

All claims must be brought in the parties' individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding, and the arbitrator may not consolidate the claims of more than one person. Notwithstanding Section 12, if the class action waiver in this Section is held unenforceable as to a particular dispute, then this arbitration agreement shall be void as to that dispute and it shall proceed in court under Section 14.

You may opt out of this arbitration agreement by emailing contact@chemwhiz.com within thirty days of first accepting these Terms or, if you created your account before July 25, 2026, within thirty days of that date, stating your account email and that you opt out of arbitration. Opting out does not affect any other provision of these Terms.
